§

Scope

These Overage Sessions Terms apply when Customer turns on Overage Sessions, either on an Order Form or in the LogRocket Platform. They supplement the agreement under which Customer uses the Platform (the “Agreement”) between Customer and LogRocket, Inc. (“Company”), and references in Section 1 to “this Agreement” mean the Agreement as supplemented by these terms.

They are the same terms as Section 6 of the LogRocket Platform Agreement. If Customer has a signed agreement with Company that addresses overage sessions, that agreement's terms apply instead.

§1

Overage Sessions

  1. This Section 1 applies only if Customer has opted in to the Overage Sessions feature, either by electing Overage Sessions on an applicable Order Form or by enabling the Overage Sessions setting within the Platform. If Customer has not opted in, this Section 1 shall have no force or effect.
  2. Customer's base plan (the “Base Plan”) includes a fixed number of sessions per quota period (the “Quota”), as stated in the applicable Order Form or on Customer's plan configuration page in the Platform. The Quota may be measured on a monthly or annual basis, as specified in the applicable Order Form or the Platform. Customer may record sessions up to the Quota without additional usage charges. Customer may upgrade to a higher Quota tier at any time by contacting Company or by selecting a different configuration in the Platform dashboard.
  3. Overage Limit and Fees. If Customer uses more sessions in a quota period than the Quota (“Overage Usage”), Company will continue to record sessions up to the overage limit Customer has set in the Platform (the “Overage Limit”), and will not record sessions beyond it in that quota period. Customer shall pay an overage fee for each session of Overage Usage (“Overage Fees”) at the per-session overage rate (“Overage Rate”) for Customer's plan, as shown in the applicable Order Form or the Platform dashboard. If Customer's Base Plan changes, the Overage Rate is subject to change. Sessions already recorded prior to the Base Plan change retain the rate in effect when they were originally recorded. Customer may change the Overage Limit or turn off Overage Sessions at any time in the Platform. A change applies from that point on and does not affect Overage Fees already accrued. Overage Fees are exclusive of taxes, which Customer shall pay as applicable.
  4. Billing. Regardless of the payment method specified in the Agreement or any Order Form, Customer must maintain a valid credit card on file with Company for Overage Fees, and authorizes Company to charge it for accrued, unbilled Overage Fees on the earlier of (a) the end of each quota period (or, for an annual Quota, each monthly cycle within it) and (b) the date accrued, unbilled Overage Fees reach the Overage Threshold. The “Overage Threshold” is the amount shown for Customer's account in the Platform. Unless the applicable Order Form or the Platform states otherwise, it is twice Customer's monthly subscription Fees, rounded up to the nearest one hundred dollars ($100). “Monthly subscription Fees” means the total recurring price of every product and add-on in Customer's subscription, net of any discounts, excluding Overage Fees, taxes and one-time fees; for a subscription billed annually, it is one-twelfth (1/12) of the annual amount. For example, for an annual subscription of $10,000 after discounts, the Overage Threshold is $1,700. Company may charge more than once in a quota period. Customer agrees to keep the card information complete, current and valid.
  5. Non-payment. If a charge under Section 1.4 is declined or remains unpaid for three (3) days, Company may pause recording of Overage Usage until it is paid. Sessions within the Quota continue to be recorded. Failure to timely pay Overage Fees may result in interest and other consequences under this Agreement.
  6. Company will make usage summaries available in the Platform dashboard, including the Quota, sessions consumed, Overage Usage, and Overage Fees. Company will also provide such summaries upon Customer's written request. Customer must raise any disputes regarding usage within five (5) business days of the applicable charge. After that period, the usage data and charges are deemed accepted.
  7. Unused portions of the Quota do not carry forward to future quota periods. Overage Usage cannot be offset by unused sessions from prior periods.
